1. Introduction
Welcome to UCubix, the digital distribution platform operated by Epicsoft Asia Pte. Ltd. (“Epicsoft”, “UCubix”, “we”, “us”, or “our”).
These Terms of Use (“Terms”) govern your access to and use of the UCubix Platform and related services, including its website, digital vault, APIs, and any other tools or features made available by Epicsoft.
By creating an account, browsing, or using the Platform, you acknowledge and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
2. Eligibility
To use the Platform, you must:
- Be at least 21 years of age (or older if required by local laws).
- Have legal capacity to enter into a binding contract.
- Use the Platform in compliance with our Terms and all applicable laws.
If you are using the Platform on behalf of a business, organization, or other legal entity, you
represent and warrant that you have the authority to bind such entity to these Terms.
3. Account Registration
To access certain services or features, including purchases or reselling tools, you must create an account.
By registering an account, you agree to:
i. Provide accurate, complete, and up-to-date information at all times.
ii. Maintain the confidentiality and security of your login credentials.
iii. Ensure that only authorized personnel access and use your account.
iv. Accept full responsibility for all actions taken through your account, whether by you or
your authorized users.
v. Review, accept, and comply with our Terms of Use and all applicable policies.
vi. Not use the Platform or any distributed product keys in any unlawful manner, including
but not limited to:
- Fraud, unauthorized resale, redistribution, or duplication of keys
- Use of automated tools to extract, harvest, or manipulate data or key inventories
- Actions that could harm, disrupt, or compromise the Platform or the security of other accounts
- Immediately notify us of any unauthorized access, suspected compromise, or breach of account security.
3.1 Mandatory Two-Factor Authentication (2FA)
To ensure the security of all accounts and transactions, enabling Two-Factor Authentication
(2FA) is mandatory before any orders, redemptions, or sensitive actions can be performed on
the Platform.
Upon registration, users are required to set up 2FA using a supported authenticator app. The
Platform currently supports:
- Googlу Authenticator
- Authy
- Microsoft Authenticator
Until 2FA is fully enabled and verified, your account access will be limited, and you will not be able to:
- Place orders
- Redeem or download digital products or keys
- Access secure or restricted areas of the Platform
Users are solely responsible for maintaining access to their chosen authenticator app. In the event of lost access, users must follow UCubix’s official account recovery process.
Epicsoft is not liable for any loss resulting from your failure to secure or retain access to your 2FA credentials.
4. Use of the Platform
- Partners and users agree not to:
- Use the Platform for any unlawful or fraudulent purpose.
- Attempt to interfere with or disrupt our servers or networks.
- Reverse engineer, decompile, or attempt to extract source code from the Platform.
- Violate any applicable laws, regulations, or third-party rights.
- Circumvent or attempt to bypass security measures, including 2FA.
Epicsoft reserves the right to suspend or terminate access to the UCubix Platform immediately in the event of any violation of these Terms or suspected unauthorized activity.
5. Digital Products and Licensing
The Platform enables the distribution and resale of various digital products, including but not limited to:
- Game keys
- Software licenses
- In-game items
- Digital currency or credits (e.g., PSN credits, Xbox points, wallet top-ups)
- Subscription codes (e.g., Game Pass, PlayStation Plus)
You acknowledge and agree that:
- All digital products are subject to the license terms and usage conditions provided by the original publisher, platform holder, or rights owner.
- Your purchase grants you a limited, non-transferable, non-exclusive license to redeem and use the product in accordance with those terms.
- You may not resell, transfer, or share digital products unless you are an authorized reseller operating under a valid reseller or distribution agreement with UCubix
- You are responsible for ensuring that the recipient (if applicable) is eligible to redeem and use the product in their region or platform.
5.1 Ownership and Digital Product Management
Epicsoft as the authorized distributor and operator of the UCubix platform, assumes ownership
of all digital products supplied through the Platform upon receipt from its publishers or
suppliers.
- Epicsoft distributes these products to its authorized partners and resellers through the UCubix platform.
- All digital products made available on the Platform are owned and controlled by Epicsoft until sold or otherwise transferred through an approved sales transaction.
- Partners and resellers agree to handle such products with care and to comply with any return, revocation, or removal instructions issued by Epicsoft or the relevant publisher.
- Epicsoft may, at its discretion, request the return or deactivation of unsold or unused digital products for operational or security reasons.
- Epicsoft is not responsible for any restrictions or limitations imposed by publishers or platform holders, including region locks, redemption limits, platform compatibility, or expiration dates.
6. Payments and Refunds
Terms and conditions applied as follows:
- Product prices and availability are subject to change without prior notice.
- All invoicing and payment settlements are handled by Epicsoft based on confirmed monthly sales orders.
- Billing occurs only after sales are finalized and reconciled between the Parties.
- Epicsoft reserves the right to cancel or reject any sales orders at its sole discretion.
- As the Platform does not collect payments directly, no refunds will be applicable. All invoiced amounts are based on confirmed sales and shall be considered final unless otherwise required by law.
6.1 Sales Reporting and Monthly Reconciliation
All sales made through the UCubix Platform are subject to monthly reconciliation based on the
Monthly Sales Report submitted by authorized partners or resellers after the close of each
calendar month. The reconciliation process ensures that invoicing and settlement are based
solely on confirmed and verified sales transactions.
Epicsoft may request clarification, supporting data, or adjustments to the Monthly Sales Report
where discrepancies or reporting errors are identified.
7. Resellers and Partners
If you are a registered reseller or partner, additional terms apply. These include:
- Restrictions on resale channels (e.g., marketplaces, regions)
- Compliance with publisher agreements
- Audit and reporting obligations
7.1 Account Replacement and Responsibility upon User Departure
If an individual user associated with a Reseller account resigns, transfers roles, is terminated,
or otherwise ceases to require access, the Reseller is required to notify UCubix in writing and
initiate the account replacement or removal process. This notification must occur no later than five (5) business days before the individual’s final day of access.
The Reseller is solely responsible for managing its internal personnel access, including revoking credentials and requesting user removal in a timely manner.
UCubix may, at its discretion, suspend or restrict system access if there is reasonable
indication of unreported personnel changes to prevent unauthorized access or misuse.
All actions, downloads, uploads, transactions, and key handling performed through the
departing user’s account prior to deactivation remain the full responsibility and liability of the Reseller, regardless of whether the Reseller was aware of such actions at the time.
Failure to timely notify UCubix of staff departures may result in:
- Suspension of account or key vault access
- Delays in reconciliation or key-return processing
- Financial liability for any misuse of keys or data that occurs under the account
UCubix will not be liable for any losses, leakage, key misuse, inventory discrepancies,
operational impact, or damages arising from the Reseller’s failure to promptly update account access.
The Reseller acknowledges that access is non-transferable between individuals and that shared login credentials are strictly prohibited.
7.2 Transfer of Responsibility upon Key Download
Once a digital key, code, or product license is downloaded, accessed, or exported from the UCubix Platform by the user or their organization, all responsibility and liability for that key immediately transfers from Epicsoft to the user and their organization.
- Epicsoft shall not be responsible for any loss, misuse, unauthorized redemption, resale, or other actions taken after the key has been downloaded
- Partners must ensure that all downloaded keys are securely stored, tracked, and redeemed in accordance with the applicable publisher or platform terms and any relevant agreements with Epicsoft.
7.3 Return and Validation of Keys
If digital keys are required to be returned to UCubix, whether due to supplier request, reconciliation, or adjustments to the user and their organization shall:
- Return only valid, unused, and unredeemed keys;
- Ensure that all keys being returned can be verified as inactive or unredeemed at the time of return; and
- Accept full responsibility for any keys that are invalid, previously redeemed, or otherwise compromised.
Epicsoft reserves the right to reject returned keys found to be invalid or used and may, at its
sole discretion, charge back or deduct the corresponding value during reconciliation.
8. User Content and Conduct
The Platform does not currently support the uploading, submitting, or sharing of user-
generated content. Should such features become available in the future, users will be
responsible for any content they submit and must comply with applicable rules and laws. Until
then, this section is inactive.
9. Intellectual Property
All intellectual property related to the Platform (software, design, trademarks, content) is
owned by or licensed to Epicsoft and is protected under applicable laws.
You may not use our brand or content without prior written consent, except as permitted by
these Terms or applicable law.
10. Third-Party Links and Services
The Platform currently does not include external links or integrations with third-party services for general browsing. However, the Platform does support API connections for ordering and related functionalities with authorized partners and resellers. Epicsoft is not responsible for the availability, accuracy, content, policies, or practices of any third-party systems connected via APIs. Partners use such API connections at their own risk and must comply with any applicable terms provided separately for those integrations.
11. API Use
Access to UCubix APIs ("API") is limited to authorized partners and resellers who have been granted explicit permission. You agree to use the API solely for the purposes authorized by Epicsoft, including but not limited to ordering, inventory management, and sales reporting. Partners must maintain the confidentiality of any API credentials provided and are fully
responsible for all activities performed through their assigned API access.
Partners must implement reasonable security measures to protect their systems and notify
Epicsoft immediately of any actual or suspected credential compromise.
Partners agree not to:
Reverse engineer or attempt to discover the API source code or underlying infrastructure.
Use the API in a way that disrupts, overloads, or damages the Platform or third-party services.
Share or disclose API credentials with any unauthorized parties.
Epicsoft reserves the right to monitor API activity and may suspend or revoke access at any time for misuse or security concerns.
Upon termination or revocation of access, partners must immediately cease using the API and delete any stored or cached API data unless retention is required by law.
Epicsoft makes no warranties regarding API uptime or performance and shall not be liable for any losses arising from API unavailability or errors. Partners agree to comply with all applicable laws and data protection regulations when using the API.
12. Suspension and Termination
Epicsoft may suspend, limit, or terminate your access to the UCubix Platform at any time, with
or without prior notice, if:
- The Partner breaches this Agreement or any related UCubix policy;
- The Partner’s account is involved in, or reasonably suspected of, fraudulent, abusive, or unauthorized activity; or
- Suspension or termination is required by law, regulation, or valid governmental or publisher request.
Partners may request toterminate their account or participation in the Platform at any time by providing written notice to Epicsoft or through the official support channel.
Upon termination, the Partner must immediately:
Cease use of the Platform and API access;
Return or deactivate any unused keys if required; and
Settle any outstanding invoices or obligations due to Epicsoft.
Epicsoft’s rights to recover outstanding amounts and enforce this Agreement shall survive termination.
13. Disclaimers
The Platform and all content, products, and services are provided "as is" and "as available".
We make no warranties or guarantees, express or implied, where Epicsoft makes no representations or guarantees whether express or implied regarding:
- The availability, uptime, or performance of the Platform;
- The accuracy, completeness, or reliability of data or content provided; or
- The fitness or suitability of any digital product for a specific purpose.
Epicsoft shall not be responsible for any issues, errors, or losses arising from third-party providers, publishers, platform holders, or game studios connected to the Platform.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Epicsoft and its affiliates shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, data, or business opportunities
- Claims related to third-party content or services
In all cases, Epicsoft’s total aggregate liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Partner to Epicsoft under this Agreement in the twelve (12) months preceding the event giving rise to the claim.
15. Indemnification
The Partner agrees to indemnify and hold harmless Epicsoft Asia Pte. Ltd. (operating the
UCubix Platform), its affiliates, officers, and partners from any claims, damages, or expenses (including legal fees) arising from:
- The Partner’s use of the Platform or any associated services;
- The Partner’s breach of this Agreement or any applicable UCubix policy; or
- The Partner’s violation of any third-party rights or applicable laws.
This indemnity shall survive the termination or expiry of this Agreement.
16. Changes to These Terms
Epicsoft reserves the right to amend, modify, or update this Agreement or any related terms and policies at any time.
When changes are made:
- The revised Agreement will be posted on the official UCubix website or Platform; and
- Epicsoft may provide additional notice, such as email communication or in-platform notifications, if the changes are material or affect Partner obligations.
The Partner’s continued use of the Platform after such updates shall constitute acceptance of the revised terms.
17. Governing Law
These Terms are governed by the laws of Singapore. Any disputes arising under or in
connection with these Terms shall be subject to the exclusive jurisdiction of the courts of
Singapore.
